Mayfair Mining and Minerals, Inc. Acquires UK Subsidiary and Enters Joint Venture With Zambian Group


NEW YORK, Jan. 19, 2005 (PRIMEZONE) -- Mayfair Mining & Minerals, Inc. (OTCBB:MFMM)(the "Company") is pleased to announce that it has acquired Mayfair Mining & Minerals (UK) Ltd., a U.K. corporation, as a wholly owned subsidiary. The subsidiary corporation, which has no assets or liabilities, was acquired from Clive de Larrabeiti, President of the Company, for US$150, the actual cost of forming the corporation. The Company owns 100% of the issued and outstanding shares of the subsidiary.

The Company anticipates utilizing Mayfair Mining & Minerals (UK) Ltd. as a joint venture, project acquisition and management vehicle for the Company.

The Company is also pleased to announce that it has reached agreement with the Nyendwa Family of Kafue, Zambia, and its related corporate entities, to form a joint venture to explore and, if indicated, develop the Family's potential gold and platinum-bearing properties, located in the Funswe River and Nansenga Stream areas of Zambia and their amethyst mine, located in the Mapatizya constituency of the Kalomo District of Zambia.
