Publication in the newspaper Latvijas Vēstnesis on the final offer to repurchase the shares of JSC Rīgas Miesnieks

We would like to inform you that today (03.03.2009) the newspaper Latvijas
Vēstnesis (Official Gazette) has published the following information on the
final offer to repurchase the shares of AS Rīgas Miesnieks: 

“Target Company
Stock Company Rīgas Miesnieks, registered with the Enterprise Register of the
Republic of Latvia on 27 February 1992 and with the Commercial Register  of the
Republic of Latvia on 31 August 2004 with registration No. 40003057228,
registered address: Atlasa iela 7, Rīga, Latvia, LV-1026, phone +371 67368643,
fax +371 67339180, e-mail: miesnieks@miesnieks.lv, website: www.miesnieks.lv
(hereinafter - the Target Company). 
Offeror:
Stock Company Rakvere Lihakombinaat, registered in Estonia, registered with the
Commercial Register of the Republic of Estonia on 26 March 1997 with
registration No.10156832, registered address: Roodevälja küla, Sõmeru vald,
Lääne-Virumaa 44305, Estonia (hereinafter - the Offeror). The Offeror has
directly acquired 151,263 registered shares in the Target Company that all have
been put into public circulation and that form 97.01% of the share capital and
the number of registered shares of the Target Company. 
Repurchase price per share
The repurchase price is LVL 17.57 (seventeen lats and 57 santims) per share in
the Target Company; this price has been set in accordance with Article 74.1 of
the Financial Instrument Market Law. 
Offer Period
The first date of the Offer Period is the next business day following the
publication of the Share Repurchase Offer in the Official Gazette and the
period duration is 30 days as from the first date. Should the last day of the
Offer Period be a holiday or national holiday, the tender period shall expire
on the following business day. 
Where and when the Share Repurchase Prospectus is available
The Share Repurchase Prospectus will be available on the website of the Riga
Stock Exchange: http://www.nasdaqomxbaltic.com  and on the premises of AS Rīgas
Miesnieks, address: Atlasa iela 7, Rīga, phone 67368643, e-mail:
miesnieks@miesnieks.lv  .” 

We would like to inform that the first day and the last day of the Offer Period
are 04.03.2009 and 02.04.2009 respectively.
