Establishment of LESTO AB and the expected plan of actions incorporating LESTO AB into the official list of NASDAQ OMX Vilnius stock exchange
As it was announced earlier, on 13 December, 2010 the Extraordinary General Meetings of Shareholders of public limited liability company Rytų skirstomieji tinklai (reg. no. 110870890, legal form – public limited liability company, registered office placed at P. Lukšio str. 5B, Vilnius, the Republic of Lithuania, (hereinafter - RST) and public limited liability company „VST" (reg. no. 110870748, legal form - public limited liability company, registered office placed at J. Jasinskio g. 16C, Vilnius, the Republic of Lithuania, (hereinafter - VST) adopted decisions to approve the conditions of reorganization of RST and VST, according to which the companies are reorganized by merge, and which will end their activities as legal entities after reorganization, into LESTO AB, which will start functioning after the reorganization and will take over the assets, rights and obligations RST and VST.
By this notice it is informed about the following plan of actions, regarding reorganization of RST and VST:
On 20 December, 2010 – at the end of the trade in shares session of 20 December, 2010 it is planned to stop the trade in shares of RST and VST shares in NASDAQ OMX Vilnius Stock Exchange.
Until 27 December, 2010 - it is planned to register LESTO AB in the Register of Legal Entities of the Republic of Lithuania and to get registration documents.
Until 31 December, 2010 – it is planned to finish the transfer of the assets, rights and obligations of RST and VST to LESTO AB.
Until 14 January, 2011 – it is planned to deregister RST and VST from the Register of Legal Entities of the Republic of Lithuania.
Until 20th-22 January, 2011 – it is planned to start the trade in the shares of LESTO AB on NASDAQ OMX Vilnius Stock Exchange.
The plan of actions described above depends on some factors non-depending from RST, VST and LESTO AB, that is why during the process it may change. If some material changes of the plan mentioned above will be expected, RST, VST and/or LESTO AB will inform about them additionally.
