Tele-Find Technologies Corp. Announces That It Has Obtained CTO Revocation Order and Provides Corporate Update


TORONTO, Nov. 09, 2017 (GLOBE NEWSWIRE) -- Tele-Find Technologies Corp. ("Tele-Find" or the "Company") is pleased to announce that it has obtained an order from the Ontario Securities Commission (the "Revocation Order") revoking the cease trade order issued on June 1, 2009 for the Company's failure to file annual financial statements and accompanying management's discussion & analysis and certification of annual filings for the year ended December 31, 2008 (the "Annual Filings").

On August 29, 2017, the Company filed its Annual Filings, all of which are available under the Company's profile at www.sedar.com.

Tele-Find is pleased to advise that recent board of directors appointee, Lior Ishai, has been appointed to the audit committee for the Company. Mr. Ishai has over a decade of experience in the web and marketing fields, specializing in demand generation and digital tactics to support companies’ acquisition and retention efforts. Mr. Ishai has acted as a marketing lead to numerous Israeli and Canadian firms, and has been a corporate partner in several business ventures and start-ups. He has prepared and executed on numerous marketing plans and has been responsible for budgeting and managing the financial affairs of various projects.  His expertise in inbound marketing and automation led to sales and revenue growth for companies in the finance, technology, and health sectors, among others.

Mr. Ishai has served in the following roles over the past five years:

  • CEO, Plexus Cybermedia Inc.: June 2016 – Present; Plexus is a digital agency helping private and public companies in the financial and technology sectors increase their brand awareness and business opportunities.

  • Marketing Director, PTPA Media: January 2015 – June 2016; PTPA is a parental advocacy agency focused on community building and digital communications.

  • Marketing Director, Trillium College: February 2013 – December 2015; Trillium is a career college with locations throughout Ontario.

  • Marketing Coordinator, Heart & Stroke Foundation: April 2012 – February 2013.

Mr. Ishai studied Management & Communications at Tel Aviv Open University, and Project Management from Seneca College of Applied Arts and Technology. Furthermore, Mr. Ishai has considerable experience working alongside small and medium size public companies. Through his education and professional background, Mr. Ishai has developed a robust ability to read and understand financial statements with the breadth and level of complexity of accounting issues expected to be raised by the Company’s financial statements.

Furthermore, and pursuant to the issuance of a Notice of Change of Auditor ("Notice") of Tele-Find dated April 18, 2017, Collins Barrow Toronto LLP accepted the Notice and was appointed as the auditor of record, replacing Lipton Wiseman Altbaum & Partners LLP, Chartered Accountants as the Company's auditors.

As a condition of revoking the Ontario cease trade order, the Ontario Securities Commission requested that the Company undertake not to complete a restructuring transaction, significant acquisition or reverse takeover of a business not located in Canada unless the Company first receives a receipt for a final prospectus in respect of such business. The Company has given such undertaking. 

The Company will hold a meeting of its shareholders on December 20, 2017.  Details of the meeting will be available on the System for Electronic Document Analysis and Retrieval www.sedar.com on or about November 23, 2017.  Although the Company has been inactive, following the Revocation, the Company intends to examine business opportunities in various industries, with a view to raising equity financing to develop such business.  At this time, the Company is not limiting its review of to any particular industry, and it does not have specific or future plans relating to engaging in marijuana related activities.
