WaveLight AG: Domination Agreement concluded with Alcon Inc. 

Erlangen, 20th March, 2008. The medical technology company, WaveLight AG,
listed in the Prime Standard of Deutsche Börse AG (Company address: Am
Wolfsmantel 5, 91058 Erlangen; ISIN: DE0005125603) today communicates the
making of a Domination Agreement (Para. 291 AktG (German Law on Securities
Trading)) with its majority shareholder, Alcon, Inc..

The Domination Agreement signed up today by the WaveLight AG and its
majority shareholder, Alcon, Inc., was made with the objective of allowing
a smooth, functional integration of both companies, and of making available
to the free shareholders of WaveLight AG, the full protection of minority
shareholders interests under stock corporation law.

In particular, the merger of competencies of both companies will itself
focus on the areas of research and development of lasers to the correction
of visual disorders, on worldwide sales and marketing, and on purchasing
and production.

Because, in order to be effective, the Domination Agreement needs the
approval of the General Meeting of WaveLight AG and registration in the
Commercial Register, an extraordinary general meeting of the company will
vote on the Domination Agreement, the convening of which has yet to be
announced within the scope of the legal requirements.
