On AS GE Money Bank ordinary general meeting resolutions


On 25 March 2009 at 12.00 an ordinary AS GE Money Bank general meeting was
closed, all agenda items were reviewed during the meeting and the following
resolutions were made: 

On Annual Report 2008 of the Bank.
1. Approve the annual report 2008 of the joint stock company GE Money Bank (in
appendix on 68 (sixty eight) pages). 

On Bank's 2008 profit allocation.
1. Join Bank's 2008 audited result - losses in the amount of LVL 14.188.000,00
(fourteen million one hundred eighty eight thousand 00 santims) to Bank's
operational results of the previous years. 

On Bank's auditor approval for 2009.
1. Approve the audit company SIA KPMG Baltics as the report auditor in 2009 of
the joint stock company GE Money Bank bank's group. 

On remuneration to auditor.
1. Approve for the bank's group 2009 auditor - the audit company SIA KPMG
Baltics -  remuneration in the amount of not more than LVL 42.000,00 (forty two
thousand lats 00 santims) (including VAT) a year. 

On remuneration to bank's members of the council.
1. Not to define remuneration to bank's members of the council for fulfillment
of responsibilities of council members. 

On audit committee information on operations in 2008.
1.	Take audit committee information into consideration.

On recalling the Council of the Bank.
1. Recall the Council of AS GE Money Bank elected by the resolution of the
extraordinary general meeting from 15 August 2008. 

On election of Bank's council.
1.Elect AS GE Money Bank council for the term of three years in the following
composition: 
1)Aleš Blažek, 
2)Herbert Roth, 
3)Wilfried Mathias Seidel, 
4)Richard Colin Gaskin.

Items on recalling the council of the Bank and election of the council were
included in the process of the meeting as William Christian Schaub resigned
from the position of the chairman of the council.
