R.K. Schaaf Associates, Inc. Expands Services and Operations With New Investment
ESOP Industry Stalwart Launches Web Portal for Clients; Expands to East Coast; Now Offers In-House Repurchase Liability Studies

LOS ANGELES, CA--(Marketwire - March 2, 2010) - R.K. Schaaf Associates, Inc. (RKS), a
leading employee stock ownership plan (ESOP), 401(k), profit sharing and
pension consulting and administration firm, announced today that it has
received a significant investment from Silicon Valley investment banker,
Brandt Brereton. The investment has enabled RKS to launch a new,
user-friendly Web portal for clients, a new east coast service office, and
Repurchase Liability Studies (RLS) under the RLS Direct™ brand name.
Terms and size of the investment were not disclosed.
Prior to Mr. Brereton's investment, RKS successfully provided recordkeeping
and consulting services for clients with ESOPs since 1975, making it one of
the oldest ESOP TPA firms in the country. Now through this investment, the
company has expanded its services to include RLS which helps guide the
success of ESOP companies' plans to repurchase stock when distributions
need to be made to vested participants who have retired, terminated
employment, died or become disabled. The company's newly opened office
will provide service to clients on the east coast, and its new Web portal
will enable clients and their employees to access plan information around
the clock.
Commenting on RKS' expanded services, Leslie Kearns, president and CEO of
RKS said, "I'm very excited about being able to offer our clients and their
employees the opportunity to have easy access to their plan information. By
also offering our own RLS, we believe we now offer the most comprehensive
approach to ESOP administration."
Commenting on his investment in RKS, Brandt Brereton said, "The confluence
of permanently lower M&A multiples, rising tax rates and a three-fold
increase in the number of baby boomer-aged sellers about to roll through
the system is going to drive significantly more tax-free ESOP sale
transactions over the next decade, when compared to taxable M&A
transactions. My investment in RKS is about adapting to changing market
conditions and being prepared to provide more liquidity options to clients.
Combining RKS' capabilities with those of my valuation and FINRA-registered
investment banking firm, creates a vertically integrated organization that
can effectively serve every aspect of both ESOP and M&A transaction
alternatives concurrently."
