On April 22nd, 2010, Morgan Stanley, Wilmington, Delaware, USA, correcting
its notifications dated May 22nd 2009 (published on May 26th, 2009) and
December 21st 2009 (published on December 22nd, 2009) has given us notice
on behalf of such further entities as mentioned below pursuant to section
21 para 1, 24 of the German Securities Trading Act (WpHG) of the following:
1) The voting interest of Morgan Stanley International Holdings Inc. ,
Delaware, USA, on May 18th, 2009, has fallen below the threshold of 15% of
the voting rights of Borussia Dortmund GmbH & Co. KGaA, Dortmund, Germany,
and on that day amounted 14.44% (8,867,244 shares, each carrying one voting
right) whereby these aforementioned voting rights have to be attributed
concurrent pursuant to section 22 para. 1 sent. 1 no. 2 and sent. 2 WpHG
and section 22 para. 2 WpHG.
2) The voting interest of Morgan Stanley International Incorporated,
Delaware, USA, on May 18th, 2009, has fallen below the threshold of 15% of
the voting rights of Borussia Dortmund GmbH & Co. KGaA, Dortmund, Germany,
and on that day amounted 14.44% (8,867,244 shares, each carrying one voting
right) whereby these aforementioned voting rights have to be attributed
pursuant to section 22 para. 2 WpHG.
II.
On April 22nd, 2010, Morgan Stanley, Wilmington, Delaware, USA, correcting
its notifications (Bestandsmitteilungen) dated March 26th, 2007 (published
on March 27th, 2007) and dated July 24th, 2009 (published on July 29th,
2009) has given us notice on is own behalf and on behalf of such further
entities as mentioned below pursuant to section 41 para. 4a and section 24
German Securities Trading Act (WpHG) of the following:
1) The voting interest of Morgan Stanley, Wilmington, Delaware, USA, on
January 20th, 2007, amounted 16,25% of the voting rights of Borussia
Dortmund GmbH & Co. KGaA, Dortmund, Germany (=9.982.415 shares, each
carrying one voting right), whereby the aforementioned voting rights have
to be attributed concurrent pursuant to section 22 para. 1 sent. 1 No. 1
WpHG from the chain of controlled entities and pursuant to section 22 para.
2 WpHG from Morgan Stanley & Co. International Plc (formerly: Morgan
Stanley & Co. International Limited), London, United Kingdom.
2) The voting interest of Morgan Stanley International Incorporated,
Wilmington, Delaware, USA, on January 20th, 2007, amounted 16,25% of the
voting rights of Borussia Dortmund GmbH & Co. KGaA, Dortmund, Germany
(=9.982.415 shares, each carrying one voting right), whereby the
aforementioned voting rights have to be attributed pursuant to section 22
para. 2 from Morgan Stanley & Co. International Plc (formerly: Morgan
Stanley & Co. International Limited), London, United Kingdom.
3) The voting interest of Morgan Stanley International Holdings Inc.,
Wilmington, Delaware, USA, on January 20th, 2007, amounted 16,25% of the
voting rights of Borussia Dortmund GmbH & Co. KGaA, Dortmund, Germany,
(=9.982.415 shares, each carrying one voting right), whereby the
aforementioned voting rights have to be attributed concurrent pursuant to
section 22 para. 1 sent. 1 No. 1 WpHG from the chain of controlled entities
and pursuant to section 22 para. 2 WpHG from Morgan Stanley & Co.
International Plc (formerly: Morgan Stanley & Co. International Limited),
London, United Kingdom.
4) This chain of entities is represented as follows (starting on the
highest level): Morgan Stanley (Delaware), Morgan Stanley International
Holdings Incorporated, Morgan Stanley International Limited, Morgan Stanley
Group (Europe), Morgan Stanley UK Group, Morgan Stanley & Co. International
Plc. (formerly: Morgan Stanley & Co. International Limited).

On April 22nd, 2010, Morgan Stanley, Wilmington, Delaware, USA, correcting
its notifications dated September 20th, 2006 (published on September 22nd,
2006) and July 24th , 2009 (published on July 29th, 2009) has given us
notice on is own behalf and on behalf of such further entities as mentioned
below pursuant to section 21 para. 1 and section 24 German Securities
Trading Act (WpHG) of the following:
1) The voting interest of Morgan Stanley, Wilmington, Delaware, USA, on
September 19th, 2006, has exceeded the thresholds of 3%, 5%, 10% and 15% of
the voting rights of Borussia Dortmund GmbH & Co. KGaA, Dortmund, Germany,
and on that day amounted 16,25% of the voting rights (=9.982.415 shares,
each carrying one voting right) whereby the aforementioned voting rights
have to be attributed concurrent pursuant to section 22 para. 1 sent. 1 no.
1 WpHG from the respective subsidiaries of the chain of controlled entities
and pursuant to section 22 para. 2 WpHG from Morgan Stanley & Co.
International Plc (formerly: Morgan Stanley & Co. International Limited),
London, United Kingdom..
2) The voting interest of Morgan Stanley International Holdings Inc.,
Wilmington, Delaware, USA, on September 19th, 2006, has exceeded the
thresholds of 3%, 5%, 10% and 15% of the voting rights of Borussia Dortmund
GmbH & Co. KGaA, Dortmund, Germany, and on that day amounted 16,25% of the
voting rights (=9.982.415 shares, each carrying one voting right) whereby
the aforementioned voting rights have to be attributed concurrent pursuant
to section 22 para. 1 sent. 1 no. 1 WpHG from the respective subsidiaries
of the chain of controlled entities and pursuant to section 22 para. 2 WpHG
from Morgan Stanley & Co. International Plc (formerly: Morgan Stanley & Co.

notification dated April 22nd, 2010)
The share of Morgan Stanley UK Group, London, United Kingdom, on April
20th, 2010, has fallen below the threshold of 5% of the voting rights of
Borussia Dortmund GmbH & Co. KGaA, Rheinlanddamm 207-209, 44137 Dortmund,
Germany, and on that day amounted 4,77% (2.927.764 shares/voting rights);
whereby the aforementioned voting rights have to be attributed pursuant to
section 22 para. (1) sent. 1 No. 1 WpHG from Morgan Stanley & Co.
International Plc (formerly: Morgan Stanley & Co. International Limited),
London, United Kingdom.
