Consolidation of shares


Reference is made to the announcement of Minutes from Extraordinary General by Polarcus Limited ("Polarcus" or the "Company") (OSE: PLCS) on 22 November 2015. The Extraordinary General Meeting of Polarcus resolved on 22 November 2015 to consolidate the shares of the company so that 10 old shares shall give 1 new share. After the share consolidation, the nominal value of the shares shall be USD 0.2. Shareholders who subsequent to the consolidation would own fractions of a share will free of charge be rounded up to the nearest whole share. The shares will be traded ex consolidation from 27 November 2015.

As a consequence of the share consolidation, the Conversion Price of the "USD 125,000,000 2.875 % Secured Convertible Bond Issue 2011/2016" (ISIN: NO 0010607435)" will be adjusted according to the Bond Agreement clause 15.2, from USD 1.5476 to USD 15.476. The new Conversion Price is effective from 27 November 2015.
